Terms of Service

These Terms of Service ("Terms") govern your access to and use of HoopIQ. By accessing or using our services, you agree to be bound by these Terms.

1. Using HoopIQ

You must follow any policies made available within the service. Do not misuse the service, attempt to access it using a method other than the interface and instructions we provide, or engage in activity that disrupts or degrades the service.

We may modify, suspend, or discontinue any part of the service at any time. We may impose reasonable limitations or restrictions, implement access controls, and update features and functionality. Certain features may be subject to additional terms presented at the time of use.

2. Accounts

You are responsible for the activity that happens on or through your account. Keep your password secure and notify us immediately of any unauthorized use of your account.

We may require identity or eligibility verification for specific features, refuse service, close accounts, reclaim usernames, or require multi-factor authentication. You agree to keep your registration information accurate and up to date and to promptly inform us of changes.

3. Content and Permissions

You retain ownership of content you submit to HoopIQ ("Content"). By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display Content solely for the purpose of operating, protecting, and improving the service. "Derived Data" means annotations, labels, features, embeddings, metrics, and other data generated from or about Content or your use of the service.

You represent and warrant that you have all rights necessary to grant the foregoing licenses and that your Content does not infringe or violate any third-party rights or laws. You are responsible for obtaining any consents required from participants depicted in uploaded footage.

AI Training and Derived Data

Where permitted by law and our agreements, you also grant us a license to use Content and any de-identified or aggregated data derived from it (collectively, "Derived Data") to develop, train, fine-tune, evaluate, and improve algorithms and machine learning models, create datasets, benchmark performance, and conduct research and quality assurance. We may de-identify or aggregate information for these purposes, and limited human review under confidentiality obligations may be used for labeling and evaluation. We may engage trusted service providers and research partners—subject to strict confidentiality and use restrictions—to process Content and Derived Data on our behalf for the purposes described above, including developing and evaluating AI systems, and we may provide them access to or license de-identified or aggregated Content and Derived Data for those limited purposes. We do not sell personal information. Personal information is handled in accordance with our Privacy Policy.

These rights include creating and using annotations, labels, features, embeddings, and other forms of derived or synthetic data; performing model evaluation and monitoring; and using de-identified or aggregated outputs for analytics and product development. To the extent allowed, we may retain and use Derived Data after termination of your account.

4. Payments

Certain features may require payment. Prices, billing cycles, refunds, and cancellations are governed by the terms presented during checkout and any applicable local laws.

Taxes, fees, and charges may apply. You authorize us and our payment processors to charge your selected payment method for amounts due. We may change prices and billing terms with notice where required. Late or failed payments may result in suspension or termination of access.

5. Prohibited Use

You may not use the service to violate any law, infringe intellectual property, transmit malicious code, or attempt to gain unauthorized access to any systems.

Prohibited activities include interfering with or disrupting the service or its infrastructure, reverse engineering or circumventing security or access controls, misrepresenting your identity or affiliation, scraping or harvesting data except as expressly permitted, and using the service for unlawful or harmful purposes.

6. Termination

We may suspend or end your access to the service if you materially or repeatedly breach these Terms. You may stop using the service at any time.

We may also suspend or terminate the service, accounts, or access in our discretion to protect the platform, our users, or third parties, or to comply with legal obligations. Upon termination, certain provisions that by their nature should survive (including intellectual property, disclaimers, limits of liability, and governing law) will survive.

7. Disclaimers

The service is provided "as is" without warranties of any kind. To the extent permitted by law, we disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted, timely, secure, or error-free, or that content will be accurate or reliable. We are not responsible for third-party services, networks, or software outside our control.

8. Limitation of Liability

To the extent permitted by law, HoopIQ and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

In no event will our aggregate liability arising out of or relating to the service exceed the amount you paid to us for the service in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars (US$100), whichever is greater. These limitations apply to the maximum extent permitted by law.

9. Changes to These Terms

We may update these Terms from time to time. We will post any changes on this page and update the "Last updated" date above.

If changes materially affect your rights or obligations, we will provide notice as appropriate. Your continued use of the service after the effective date of changes constitutes acceptance of the updated Terms.
